François D. Ramsay is Vice President General Counsel and Secretary of Yellow Pages Group. Mr. Ramsay was appointed to this position in March 2003.
Over the last decade, François D. Ramsay has been involved in a variety of matters affecting the companies where he worked, including mergers and acquisitions, debt and equity financings, corporate governance as well as complex litigation matters.
Prior to joining Yellow Pages Group, Mr. Ramsay was Vice President General Counsel and Corporate Secretary of Gildan Activewear Inc., a leading Canadian manufacturer and marketer of high-quality activewear. Among his achievements, Mr. Ramsay oversaw the implementation of governance procedures to ensure compliance with the Sarbanes-Oxley Act of 2002 (administered by the U.S. Securities and Exchange Commission).
Between 1994 and 2000, Mr. Ramsay held a number of senior positions with Le Groupe Vidéotron ltée, one of Canada's largest integrated communications companies. As Vice President, Legal Affairs and Secretary, Mr. Ramsay played a key role in the negotiations leading to Quebecor's successful acquisition of Le Groupe Vidéotron, achieved in October 2000. At Vidéotron, François D. Ramsay also served as Director Legal Affairs and Secretary, Director Corporate Finance, and Legal Counsel. Among his achievements in these capacities, Mr. Ramsay was involved in the negotiation of an important equity investment in the business telecommunications unit of Vidéotron and successfully guided the company through a series of legal and financial transactions involving Vidéotron subsidiaries in Canada, the United States and United Kingdom.
François D. Ramsay obtained a Bachelor of Law degree (LL.B.) from the Université de Montréal in 1986, and was called to the Québec Bar in 1987. Mr. Ramsay is a member of the Canadian, American and Montreal Bar Associations. |
